These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and 3-102-939275 SRL (trading as "NovastormIT," "we," "us," or "our") governing your access to and use of our business-in-a-box SaaS platform for Expert Advisor (EA) development and marketing businesses, including our website, applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
NovastormIT provides a comprehensive platform for EA developers and vendors, including: white-label Expert Advisors or integration of your own EAs; license management and copy protection systems integrated with MT4/MT5; customer portal for onboarding, invoicing, and management; VPS deployment services with one-click branded deployment; performance dashboards and analytics; and EA installer builder tools. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
To access certain features of the Services, you must create an account. You agree to: provide accurate, current, and complete information during registration; maintain and promptly update your account information; maintain the security of your password and account; notify us immediately of any unauthorized access or use of your account; and accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
Certain Services require payment of fees. You agree to pay all applicable fees as described on our website or as otherwise agreed in writing. All fees are non-refundable unless otherwise specified. We reserve the right to change our fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees. If you fail to pay any fees when due, we may suspend or terminate your access to the Services.
You agree not to use the Services to: violate any applicable laws or regulations; infringe upon the intellectual property rights of others; distribute malware, viruses, or other harmful code; engage in fraudulent or deceptive practices; interfere with or disrupt the Services or servers; attempt to gain unauthorized access to any systems or networks; use the Services to harm, threaten, or harass others; resell or redistribute the Services without authorization; or circumvent any security measures or access controls.
The Services, including all content, features, and functionality, are owned by NovastormIT and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
You retain ownership of any content you upload to the Services (including your own EAs). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, host, store, and display your content solely for the purpose of providing the Services to you.
The Services may integrate with or provide access to third-party services (such as VPS providers, payment processors, and brokers). Your use of third-party services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVASTORMIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless NovastormIT, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of any third-party rights; any claims by your end customers; or any content you upload to the Services.
You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.
These Terms shall be governed by and construed in accordance with the laws of Costa Rica, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction within Costa Rica.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date". Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and NovastormIT regarding the Services.
